1. Acceptance of Terms

By accessing or using Subjectly ("Service"), operated by AIQSO LLC, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any modifications.

2. Description of Service

Subjectly is a privacy-first, AI-powered study assistant that processes documents locally on your device. The Service includes mobile applications (iOS and Android) and a web application. Users can import documents, ask AI-powered questions, and generate study materials including flashcards, quizzes, summaries, and podcasts.

The Service operates on a local-first architecture where documents are stored on your device. AI features are powered either by your own API keys (Pro/BYOK tier) or through our hosted AI proxy (Free tier).

3. User Accounts

• You may use the Service without creating an account (guest mode) with full local functionality
• If you create an account, you must provide accurate and complete information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. User Content and Data

4.1 Your Rights

You retain full ownership of all documents, files, and content you import into the Service. Since documents are stored locally on your device, you maintain complete control over your data at all times.

4.2 AI Processing

When you use AI features, relevant excerpts from your documents may be sent to AI providers as context for generating responses. In BYOK/Pro mode, this goes directly from your device to your chosen provider. In Free tier mode, this transits through our secure proxy. See our Privacy Policy for details.

4.3 Your Responsibilities

You agree not to use the Service with content that:

• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is illegal, defamatory, or violates the rights of others
• Contains sensitive personal information of third parties without consent

5. API Keys and Third-Party Services

When using the BYOK (Bring Your Own Key) feature, you are responsible for:

• Complying with the terms of service of your chosen AI provider
• Managing your API key usage and associated costs
• Keeping your API keys secure (they are stored in your device's secure keychain)

We are not responsible for charges incurred from your AI provider, service interruptions from third-party providers, or any actions taken by third-party AI providers with data you send to them.

6. AI-Generated Content

The Service uses artificial intelligence to analyze documents and generate responses. You acknowledge that:

• AI-generated content may not always be accurate or complete
• You should verify important information from authoritative sources
• AI responses are for informational and educational purposes, not professional advice
• We are not liable for decisions made based on AI-generated content

7. Subscriptions and Payments

7.1 Subscription Plans

Subjectly Pro is available as an auto-renewable subscription:

• Monthly: $7.99 per month
• Annual: $49.99 per year

Prices are in US dollars. Actual prices may vary by region and currency as determined by the Apple App Store or Google Play Store.

7.2 Billing and Renewal

• Payment is charged to your Apple ID or Google Play account at confirmation of purchase
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your device's Account Settings > Subscriptions

7.3 Free Tier

Core features are available for free, including document import, local search, organization, and offline access. AI features on the free tier use our hosted proxy with usage limits.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Abuse the free tier AI proxy (excessive or automated usage)

9. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by AIQSO LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIQSO LLC AND SUBJECTLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to indemnify and hold harmless AIQSO LLC, Subjectly, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Your locally stored data remains on your device regardless of account status. You may delete your account at any time through Settings > Account > Delete Account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction in Denton County, Texas.
